Terms of Service — The Tesla Ref

These Terms of Service ("Terms") govern your use of The Tesla Ref website at theteslaref.com (the "Service"), operated by Wyandock, LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

The Tesla Ref connects Tesla vehicle owners ("Users," "you") with potential Tesla buyers by promoting your Tesla referral link. When a buyer places an order using your referral link, you earn Tesla referral credits directly from Tesla, and we charge a service fee for facilitating the referral.

Important: The Tesla Ref is not affiliated with, endorsed by, or sponsored by Tesla, Inc. The Tesla referral program is owned and operated entirely by Tesla, Inc., and is subject to change or discontinuation at Tesla's sole discretion.

2. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

To use the Service, you must create an account by providing a valid email address and your Tesla referral code. You are responsible for:

  • Maintaining the accuracy of your account information
  • Keeping your account credentials secure
  • All activity that occurs under your account

You agree to notify us immediately at support@theteslaref.com if you become aware of any unauthorized use of your account.

4. How the Service Works

4.1 Referral Promotion

When you sign up and provide your Tesla referral link, we promote your link to potential Tesla buyers. We process referrals in order of signup on a first-come, first-served basis.

4.2 Referral Limit

By default, our goal is to fulfill up to 10 successful referrals per User, or the maximum allowed by Tesla's referral program, whichever is lower. You may set a lower referral limit at any time by contacting us at support@theteslaref.com.

4.3 Referral Credits

When a buyer places a Tesla order using your referral link, Tesla awards referral credits directly to your Tesla account. The Company does not control the issuance, value, or terms of Tesla referral credits — these are determined solely by Tesla, Inc.

4.4 Referral Balance Resets

Tesla referral balances typically reset at the start of each calendar year. This timing and cadence is entirely subject to Tesla's policies and may change without notice.

5. Fees and Payment

5.1 Service Fee

We charge a service fee for each successful referral. A referral is considered successful when a buyer places an order or deposit with Tesla using your referral link. Our current pricing is published on our website and is subject to change. We reserve the right to modify our pricing at any time, and will communicate any changes to active Users.

5.2 When You Are Charged

Your payment method on file is charged at the time a referral is detected — specifically, when the buyer places an order or deposit with Tesla through your referral link. You will not be charged if no referrals are converted.

5.3 Payment Method

You must provide a valid payment method (credit card or debit card) during registration. Your payment information is collected and processed by our third-party payment processor, Stripe, Inc. We do not store your payment card details — they are securely managed by Stripe in accordance with PCI DSS standards.

5.4 Refunds and Backfills
  • Cancelled orders: If a buyer cancels their Tesla order, we will normally detect the cancellation and automatically backfill the referral with a replacement at no additional charge.
  • Non-delivery: If a buyer does not take delivery of their Tesla vehicle within 90 days of the referral, you are entitled to a refund for that referral. Since we cannot detect delivery status, you must contact us at support@theteslaref.com to request this refund.
  • Replacement guarantee: If a referral falls through for any reason, we will replace it with a new referral at no additional cost to you.
5.5 Failed Payments

If a payment fails for a converted referral, we will attempt to collect payment using your payment method on file. If payment cannot be collected, your account may be suspended immediately in accordance with Section 8.

6. Tesla Referral Program Dependency and Risk Acknowledgment

The Service is entirely dependent on the Tesla referral program, and all referrals are subject to Tesla's referral program terms of service. You acknowledge and agree that:

  • Tesla may modify, suspend, or discontinue its referral program at any time without notice.
  • The value, terms, and conditions of Tesla referral credits are determined solely by Tesla, Inc.
  • If Tesla modifies or discontinues its referral program, we will make reasonable efforts to fulfill outstanding referral commitments or make affected Users whole, but we make no guarantees regarding our ability to do so.
  • We are not liable for any changes Tesla makes to its referral program, including changes to credit values, eligibility, or program availability.
6.1 Risk of Account Action by Tesla
By using the Service, you acknowledge and accept the following risks:
  • Tesla may, at its sole discretion, determine that referrals obtained through third-party promotion services such as ours constitute a violation of their referral program terms of service.
  • Tesla may withhold, revoke, or claw back referral credits if it determines that referrals were gained in a manner it deems unfair, improper, or in violation of its policies.
  • Tesla may disable, suspend, or permanently terminate your Tesla referral account in connection with such a determination.
  • You knowingly accept these risks by engaging our Service. The Company is not responsible and shall not be held liable under any circumstances for any action taken by Tesla against your referral account, referral credits, or Tesla account, including but not limited to the withholding of credits, account suspension, or account termination.
  • No refund of service fees shall be owed by the Company in the event Tesla takes action against your account as described in this section.

7. User Responsibilities

By using the Service, you agree that:

  • Your Tesla referral code is valid and belongs to you.
  • You will not provide fraudulent, misleading, or inaccurate information.
  • You will not attempt to manipulate the referral process or engage in any fraudulent activity.
  • You will not use the Service for any unlawful purpose.
  • You are responsible for any tax obligations related to Tesla referral credits you receive.

8. Account Suspension and Termination

8.1 Suspension for Non-Payment

If you fail to pay for a converted referral, your account will be suspended immediately. Suspended accounts will not receive further referrals until the outstanding balance is resolved.

8.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, for any reason, including but not limited to:

  • Failure to pay service fees
  • Fraudulent or abusive activity
  • Violation of these Terms
  • Providing an invalid or revoked referral code
8.3 Termination by You

You may cancel your account at any time by contacting us at support@theteslaref.com. Cancellation does not entitle you to a refund of fees already charged for successful referrals. If referrals have been completed but not yet charged, outstanding fees remain payable.

9. Intellectual Property

All content, branding, and materials on the Service — including text, graphics, logos, and software — are the property of Wyandock, LLC or its licensors. You may not reproduce, distribute, or create derivative works from any content on the Service without our prior written consent.

"The Tesla Ref" is a trademark of Wyandock, LLC. Tesla, the Tesla logo, and related marks are trademarks of Tesla, Inc. and are used for descriptive purposes only.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Referrals will be successfully converted.
  • Tesla referral credits will be issued, honored, or maintained by Tesla.
  • Any specific number of referrals will be achieved within any timeframe.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WYANDOCK, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF ANTICIPATED TESLA REFERRAL CREDITS.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL SERVICE FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wyandock, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any dispute between you and Tesla, Inc. regarding referral credits

13. Privacy

Your use of the Service is also governed by our Privacy Policy, available at theteslaref.com/privacy-policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

14. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice.

We may update these Terms from time to time. Any changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active Users via email.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wyandock, LLC regarding the Service and supersede any prior agreements or understandings.
